Apex ADA Terms of Service

1. Agreement to Terms

Welcome to Apex ADA. These Terms of Service ("Terms") govern your access to and use of https://apexada.com, https://www.apexada.com, and all related software, products, and services, including the Accessibility Enhancement Widget, subscription plans, accessibility audits, consulting services, accessibility statements, dashboards, reports, and documentation (collectively, the "Services").

By creating an account, starting a trial, subscribing to a plan, installing or using the widget, or otherwise using our Services, you agree to be legally bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Services.

2. Eligibility

You represent and warrant that:

  • You are at least 18 years old;

  • You have the legal authority to bind yourself or the entity you represent;

  • Your use of the Services complies with all applicable laws.

3. Description of Services

Apex ADA provides tools and services designed to assist businesses in improving website accessibility. Services include, but are not limited to:

  • Accessibility Enhancement Widget (self-install SaaS subscription)

  • Accessibility Audits (one-time evaluations)

  • Consulting and Remediation Guidance

  • Accessibility Statements (informational templates)

No Compliance Guarantee

While our tools and services are designed to assist in accessibility efforts, Apex ADA does not guarantee compliance with the Americans with Disabilities Act (ADA), WCAG guidelines, or any other accessibility standard. Full compliance depends on your website code, third-party integrations, and ongoing maintenance, which are your responsibility.

4. Client Responsibilities

You are responsible for:

  • Correct installation and configuration of the widget;

  • Maintaining accessibility compliance on your website;

  • Your website content, structure, and third-party integrations;

  • Implementing recommendations from audits or consulting;

  • Managing subscription cancellation and renewal.

Apex ADA is not responsible for issues arising from third-party tools, plugins, themes, hosting, or custom code.

5. Subscription Plans

Service packages include:

  • Widget Subscriptions (monthly or annual, self-install)

  • Accessibility Audits

  • Consulting Services

  • Accessibility Statements

Pricing and features are detailed on the Site and may change. Subscription plans are self-managed by clients.

6. Free Trial (Widget Subscriptions Only)

Eligibility

Free trials are available only for eligible Accessibility Enhancement Widget plans. One-time services are not eligible.

Duration

Free trials last 14 days from activation.

Conversion and Billing

The trial ends exactly at 12:00 a.m. (midnight) on day 14. At that time:

  • The subscription automatically converts to a paid plan;

  • The payment method on file is charged.

No grace periods, notifications, or reminders are guaranteed.

Trial Cancellation

You must cancel before trial expiration to avoid charges. Once charged, all fees are final and non-refundable.

7. Billing, Auto-Renewal, and Taxes

  • Subscriptions renew automatically unless canceled prior to the end of the billing cycle.

  • By subscribing, you authorize recurring charges through our payment processor.

  • You are responsible for all applicable taxes and assessments.

8. Refund Policy

Widget Subscriptions

  • No refunds after any payment is processed, including post-trial conversion, renewal, upgrade, or downgrade.

  • Partial periods or unused services are non-refundable.

Audits

  • All audit fees are non-refundable.

Consulting

  • Consulting fees are non-refundable once purchased or scheduled.

Accessibility Statements

  • Fees for statements are non-refundable once delivered or made accessible.

Chargebacks

Unauthorized chargebacks may result in suspension, termination, and administrative fees.

9. Cancellation and Termination

Client Cancellation

Cancel subscriptions anytime through your account dashboard. Cancellation prevents future charges but does not entitle you to refunds.

Termination by Apex ADA

We may suspend or terminate Services immediately for breaches, security risks, legal requirements, or policy violations.

10. Intellectual Property

All Apex ADA materials, software, and content are protected intellectual property. Clients receive a limited, non-transferable, revocable license for internal use during an active subscription.

11. Client Data and Content

You retain ownership of all website content. You grant Apex ADA a limited license to process data solely to provide Services.

12. Prohibited Uses

You may not:

  • Misrepresent compliance or results;

  • Reverse engineer or copy the software;

  • Interfere with system operation;

  • Use Services for illegal purposes.

 

13. Disclaimers

Services are provided "as is" without warranties of any kind. Apex ADA disclaims implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

 

14. Limitation of Liability

Maximum liability is limited to the amount you paid in the 12 months preceding a claim. Apex ADA is not liable for indirect, incidental, or punitive damages.

 

15. Indemnification

You agree to indemnify Apex ADA for claims arising from your website content, failure to comply with laws, or misuse of Services.

16. Governing Law and Venue

These Terms are governed by California law. Exclusive venue is in California courts.

17. Changes to Terms

We may update these Terms at any time. Continued use constitutes acceptance.

18. Entire Agreement

These Terms, along with the Privacy Policy, constitute the complete agreement between you and Apex ADA.
